四、保证金:

4.1 为确保出租房屋及其设施之安全并完好及租赁期内相关费用之如期结算,乙方同意于签订合同10天内支付给甲方贰个月租金的租赁押金计__________________人民币作为乙方确保合同履行之保证金。乙方搬入后十天内付壹个与租金计______________人民币。

乙方应承担租赁期内实际使用而产生的水、电、液化气费、电话费并按单自行如期交纳所属管理公司或有关机构。

六、甲方的责任:

6.1 甲方须按时将出租房屋及其家私家具用品与其设施以良好状态交付乙方使用。

party a shall deliver on schedule to party bvacant possession of the leased property including the furniture,furnishing and appliances and the related facilities for party b‘s use(furniture,furnishing and appliances to be detailed in appendisl.)

6.2 租赁期内甲方不得收回出租房屋(除非本合同另有规定),甲方保证乙方可不受干扰的享用该物业。

party a shall not repossess the leased property during the term of party a disturb of interfere with party b‘s quiet enjoyment of the leased property.

6.3 在乙方遵守本合同的条款及支付租金的前提下,乙方有权于租赁期内拒绝甲方或其他人骚扰而安静享用出租房屋。

proviede that party b pays the rent and performs and observes party b‘s terms and conditions in accordavce with this agreement, party b shall be entitled to hold and enjoy the leased property throughout the term of this tenancy without any interruption by party a or any other person.

6.4 租赁期内出租房屋的结构,进出物业的排水、上下管道、电路等处于良好使用状态。

party a agrees to repair and maintain the structure,drains, pipes and cables, etc.leading in to or from the leased property at all times in good and tenable repair during the term of this tenancy.

七、乙方的责任:

party b‘s obligations:

7.1 乙方应按合同的规定,按时支付租金,保证金及其他各项应付费用。

party b shall promptly pay all rent ,security deposit and other charges payable by it in accordance with the terms of this agreement.

7.2 乙方应爱护使用出租房屋,如因乙方的过失或过错致使房屋设施及屋内用具和饰品受到损坏(正常损耗除外),乙方应负赔偿责任。

paryt b shall treat the leased property with care. if as a result of party b‘s negligence or misconduct, the leased property and the related facilities and accessorties suffer any damage(fair wear and tear excepted ),party b shall be responsible for compensating party a for such damages.

7.3 乙方应按本合同的约定合法使用出租房屋,不得擅自改变使用性质,不应存放中华人民共和国法律下所禁止的危险物品,如因此发生损害,乙方应承担全部责任。

7.4 未经甲方事先书面同意,乙方不得将出租房屋转租或租给其他的第三者。

八、争议的解决:

dispute resolution:

凡因执行本合同所产生的或与本合同有关的一切争议,双方应通过友好协商解决;协商不成,应提交中国国际经济贸易仲裁委员会,按其仲裁规则和中华人民共和国仲裁法进行仲裁。仲裁解决是终局的,对双方都有约束力。

第五条 借款利率和计息。

article 5. interest rate of loan and calculation

5.1借款利率。本合同项下借款利率根据国家有关规定,确定利率见_36_。5 .遇利率调整时,借款期限在1年(含)以下的,执行合同利率,不分段计息;借款期限在1年以上的,实行分段计息,从利率调整的次年1月1日开始,按相应利率的档次执行新的利率;如借款人未按约定时间归还借款本息或未按合同约定用途使用借款,贷款人将按国家规定对借款人计收罚息,罚息率见36.6.

5.1 interest rate of loan: the interest rate under this contract is specified in 36.5 in line with relevant rules. in case of change of interest rate, the interest rate stipulated in the contract shall prevail for loans with a life of less than or equal to one year; for loans with a life exceeding one year, the interest shall be calculated on a multi-stage basis, i.e. from next jan. 1st following the adjustment of interest rate, the new rate shall prevail. in case the borrower fails to repay the principal and interest before the due date, or fails to use the loan for purposes as agreed in this contract, the lender shall be entitled to collect default interest in line with relevant rules. the default interest rate is specified in 36.6.

5.2遇利率调整时,实行分段计息的,贷款人有权根据国家有关规定自行调整,不另行通知借款人。

5.2 in case of calculating interest on multi-stage basis due to adjustment of interest rate, the lender shall be entitled to adjust the interest rate on his own without further notice to the borrower.

第六条 还款方式。

6.1借款人应在贷款人开设帐户,户名和帐号见 36.7 ,并保证在每次还款日前足额存入当期应还款项的存款。借款人在此授权贷款人从借款人该帐户中扣收借款本金、利息和可能发生的复利、罚息、违约金、保费、损害赔偿金及实现债权的费用(含律师费和诉讼费)如该帐户资产不足以归还到期的贷款本息,贷款人有权从借款人在中国

工商银行任何分支机构开立的任何帐户划收。

6.1 the borrower should open an account with the lender( the account name and account number are specified in 36.7.) and promise to deposit sufficient money for repayment before each due date. the borrower hereby authorizes the lender to collect , if any, compound interest, default interest, liquidated damage, premium, compensation and expenses arising from the realization of creditor‘s right (including lawyer’s fee and court expense)in addition to due principal and interest of loan. in case the asset in this account is not enough for repayment of due principal and interest, the lender shall be entitled to collect from any account opened by the borrower with any branch of icbc.

6.2贷款人与借款人双方商定,自贷款发放次月起,借款人按月归还贷款本息(一次性还本付息除外),还款期数及还款方式见 36.8 .

6.2 the borrower shall repay the principal and interest on a monthly basis (except repaying principal and interest in a lump sum) from the second month following the issuing of loan , as agreed between the borrower and lender. the repayment tenors and type are specified in 36.8.

6.3借款期间遇利率调整,如执行本合同5.1条实行分段计息的,对借款期限在1年以上的,应从利率调整的次年1月1日开始根据未偿还借款余额和剩余还款期数进行调整,重新计算还款金额。

6.3 in case of multi-stage calculation of interest as specified in 5.1 due to adjustment of interest rate during the life of loan, the repayment amount for loans with a life exceeding one year shall be recalculated on the basis of balance of unpaid loan and the rest of repayment tenor from next jan. 1st following the adjustment of interest rate.

6.4借款人提前归还贷款须经贷款人书面同意,,提前归还部分的利息仍按本合同约定的利率和该部分实际使用天数计算。

6.4 repayment of the loan ahead of schedule by the borrower shall be subject to written consent from the lender. the interest of prepaid amount should be calculated on the basis of rate specified in this contract and actual days.

第七条 担保方式。本合同的担保人及担保方式见 36.9.具体约定由本合同中相应的担保条款确足。

18 仲裁:

在履行协议过程中,如产生争议,双方应友好协商解决。若通过友好协商未能达成协议,则提交中国国际贸易促进委员会对外贸易仲裁委员会,根据该会仲裁程序暂行规定进行仲裁。该委员会决定是终局的,对双方均有约束力。仲裁费用,除另有规定外,由败诉一方负担。

arbitration

all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached, the case in dispute shall then be submitted to the foreign trad arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decesion made by this commission shall be regarded as final a nd binding upon both parties. arbitration fees shall be borne by the losing party, unless otherwise awarded.

10. payment terms & procedures付款条件及程序:

after contract sign, the selling party is open by first-rate bank in 3 workdays a can’t cancel of fulfill contract and performance bond, with 2% of the total payment amount. the buyer receives to fulfill contract to protect the letter, being opened a list by the bank of china in 7 workdays the irrevocable, transferable confirmed “at sight” documentary letter of credit, the amount of money is 100% of the total payment, from open a day valid for 60 days, a nd should in the selling party bank in time 95% documents against payment in counter. 5% payment of the surplus, at the arrival of the goods purpose harbor, business the both parties examine the report at the port of discharge ciq result to settle accounts. pb open once receive l/c, l/c shall automatic active once pb open. has the ciq to report in 10 work days, business the both parties settle accounts the tail style with the method of t/t.

合同签订之后,卖方在3个工作日内由第一流银行开出不可撤销的履约保函,金额为总货款金额的2%;买方收到履约保函,在7个工作日内由中国的银行开出不可撤销、可转让,确认信用证,金额为总货款的100%,从开证之日起60天内有效,信用证应在卖方银行柜台95%付款交单。剩余的5%货款,在货物到达目的港,买卖双方以卸货港ciq 检验报告结果来结算。pb开立一次信用证,pb将自动积极一次启动信用证。出具ciq报告10个工作天内,买卖双方以t/t方式结算尾款。

11.documents required for payment付款所需单证:

(1) signed commercial invoice indicating the contract number, name of the carrying vessel a nd b/l number ,the l/c number ,3 originals a nd 3 copies.

已签章的商业发票,包括合同号,信用证号,货船名称以及提单号码:3份原件和3份副本。

(2) full set (3/3) of original clean on-board bills of lading made out to order; blank endorsed a nd marked “freight prepaid”, indicating the name of the carrying vessel with the buyer as the “notifying party”.

全套(3/3)正本已装船清洁提单; 空白背书,标有“运费预付”写明装运船的名称,买方作为“通知方”

(3) certificate of quantity certificate issued by sgs (pt.sucofindo) at the port of loading. : 1 original a nd 3 copies.

(4) certificate of origin issued by the chamber of commerce in the country of the loading:

the bank charge(s) for the issuance of the letter of credit shall be borne by the buyer. the bank charge(s) after the issuance of the letter of credit shall be borne by the seller. the bank charge(s) for amendment of the letter of credit, if any, shall be borne by the responsible party.

买方负担银行开证费用。卖方负担开证后的银行费用。信用证更改产生的银行费用由责任方负担。

upon completion of the loading, the seller shall advise the buyer the contract number, name of the commodity, weight, a nd invoice value, name of the carrying vessel, b/l number a nd date by fax within three working days from b/l date.

一经完成装运,卖方应在提单日期的3个工作日内传真通知买方合同号码,商品名称,重量,发票,货船名称,提单号码和日期。

16. without any penalty to buyer买方不须负担任何罚款:

seller then to offer another cargo that complies with contract terms, time being of the essence o r the buyer has the right to cancel the contract, a nd in that event under clauses in sections 15 the seller shall pay all the penalty to buyer include the fees of the discharge port.

在规格达到第15条的退货标准情形下,卖方此时须于时限内重新提供符合合约条件的货品与买方,否则买方有权取消本合约,而卖方必须支付包括卸货港所有损失罚款费用于买方。

17.weighment重量:

the invoice weight shall be determined by draft survey at load port, certified by sgs (pt.sucofindo)/ciq at sellers expense, after adjustment to obtain quantity (see below). weight as obtained at load port, in the above manner shall be final a nd accepted by seller a nd buyer.

发票上的实际重量应以船舶在装货港的吃水鉴定作为货品实际重量,鉴定报告是由sgs (pt.sucofindo)/ciq以实际货量调整额为基准所开出,费用由卖方负担,此一数量额为买卖双方共同所接受。

buyer shall be entitled, at its own expense, to have his representative present at the draft survey, a nd any difference of opinion is to be settled by the master of the charter vessel, whose decision shall be final.

买方有权以自费方式指派代表人参与船身吃水鉴定,且船公司得接受其意见,并共同决定鉴定结果。

buyer shall be entitled to have draft survey conducted by sgs o r another independent international inspection agency at the discharge port, at its own expense.

【关键词】英文合同;同义词;应用分析

一、引言

商业合同是要求选词专业(professional)、正式(formal)、准确(accurate)。我国是世贸组织成员,在国际贸易活动中必须遵守世贸组织的相关规则。因此,签订商业合同时必须考虑自身的履约能力,尽量在合同中阐明自己的要求,这对于确保签约双方当事人准确履行和享受合同中规定的义务和权力有着积极的作用。合同签订目的在于确定相关当事人的权利和义务。依法签订的合同对双方当事人就产生了约束力,其主要目的就是为了预防和解决争议。这就要求对合同中的双方当事人的权利和义务作出明确的规定。在商务合同中,为了更好更准确地表述相关要意,其选词语与日常用语有着明显的不同。最为常见是同义词的使用。同义词在商务英文合同使用最广泛,频率最高,理解并用好形容词有着十分重要的意义。

二、英文合同中的同义词

(一)合同中同义词的类别

同义词在合同中的应用是非常普遍的现象。在普通英语里,有些同义词有时可以互换,但在英文合同中这些同义词就不能随便互换,因为它们表达的权利和义务是有一定的区别的。只有清楚地辨别它们,才能避免歧义与误解。英文合同中有两类同义词,第一类同义词就是有同义的词,另一类是词义有明显差异的同义词。

1. 有同义的同义词

同义词在合同中使用时,尤其是两个同义词连用时,它们的词义都取其同义,旨在准确完整地表述意思。以保持合同在法律上的严肃性,避免争议的产生。这符合签订合同的目的。如,

(1) The heading and marginal notes in these conditions shall not be deemed part thereof be taken into consideration in the interpretation or construction thereof or of the contract.

本合同条件中的标题和旁注不应视为合同本文的一部分,在合同条件或合同本身的理解中也不应考虑这些标题和旁注。

此句中的“interpretation” 和 “construction” 意思均为“理解,解释”。

(2) Party A shall no longer be responsible or keeping secret and confidential the part already published.

甲方不再承担已经被公开部分的保密义务。

句中的 “secret” 和 “confidential” 均为 “秘密”。

(3)The terms and conditions of this Contract shall extend to and be binding upon and insure to the benefit of the parties hereto and their permitted successors and assigns.

该合同条款对本合同双方、其继受人以及允许的受让人均有约束力,且为其利益而订立。

这里的并列结构“terms and conditions”均示(合同,协议,谈判等中的)条款。

合同中的“Terms”通常指的是有关款项条款,如货款,成本,佣金等方面的规定。而“conditions”就不一样,它指的是不同情况、条件。这两个词在此连用均表达合同条款。

2. 有差异的同义词

既然同义词在合同中含有微小差异,那么他们成对连用时就涉及到很多情况。因此,其内容就更广,行文更严谨。这样合同的内容就更准确完整。如,

(1) The period of one year specified in the preceding paragraph shall not be suspended or interrupted.

前款所述的一年期限不得终止或中断。

此句中,如果只用“suspend”,那就意味着某些权力中途可以终止,一年之内可以重计。而如果只用“interrupt”,其意思是某些权利可以中途终止,但剩余的期限可以继续在以后计算。但用“suspend or interrupt”就更加准确完整,这就可以清楚表明此类权利一年之内不能以任何形式终止。

(2) For the damage or loss due to natural causes within the responsibilities of the ship-owner or the underwriter, the Seller shall not consider any claim for compensation

由于在船东或保险人责任范围内发生的损害或损失,卖方不考虑任何索赔。

一般地,“damage”表明实值受到损坏,而“loss”表示全损。根据国际货物运输保险惯例,有些保险承保货物的全损,而有些只承保部分损失。关于合同中当事人的利益,此句用了“damage or loss”两个同义词来表述。这一连用同样表明合同的正式性,突出其明确性。

(二)同义词在合同中的运用

1. 使用同义词的特义。表面上,同义词表达同义,但合同中的同义词不单表达其普通的一面,同时还有其特义。如

(1) In accordance with the Agreement, both Party A and Party B promise to perform the contract.

.甲乙双方同意按约定履行合同。

(2) The contractor shall fulfill all of its duties and obligations in carrying out its work and services hereunder.

承租人必须忠实守信和履行下列各项规则。

“perform”和“fulfill”常用于合同中表示“执行、履行”,但“perform”表示一方当事人必须做合同里规定的事。“fulfill”表示要做在合同中承诺的事。因此,此类词的使用能详述相关当事人的义务和责任。

2. 同义词在合同中成对使用

同义词在合同中成对使用是普遍现象,两个同义词并列出现在句中,看似重复,但实际上,这一用法使要表达的意思更准确、更完整,可以减少合同漏洞。一些同义词成对使用属于套式(如介词的成对使用、动词的成对使用、名词的成对使用及形容词的成对使用等)。如,

The parties may, through consultation, make amendments to and reversions of this Contract as and when the need arises.

双方可以在必要时通过协商,修改本合同。

此句中名词amendment和reversion,连词as和when是成对使用。

This Agreement and any rights or obligations hereunder are not transferable or assignable by one party to this Agreement without the consent of the other party hereto.

本协议及本协议所规定的权利和义务,没有另一方的同义就不得擅自转让。

句中的同义形容词transferable和assignable是成对使用。

The amendments to or alteration of this Contract become effective only after they are signed by both parties and approved by the original approving authorities.

本合同的修改,只有在双方签字并经原审批主管机关批准后才能生效。

句中的同义名词amendment和alteration是成对使用。

This agreement is made and entered into by and between ABC Co. and XYZ Co.

ABC公司和XYZ公司双方签订本协议。

句中的同义动词made和entered into,介词by和between是成对使用。

上述的用法在意思表达方面比单用一词表示在效果上意思更完美,因为这些成对使用是固定表达,合同中不能有选择地将其分离。

三、合同中选用同义词的原则

(一)根据目的选择同义词

合同中的同义词字面的理解上看似没有大差别,但是,仔细研究其目的,就会发现它们不仅有相似的一面,也有其个义。如,“履行合同”可以译为“to perform a contract,to fulfill a contract,to execute a contract,to implement a contract”,字面上这些表达是对的,但具体用到合同条款时,用法就有区别了。如,

(1) Both parties shall observe and fulfill all the terms and conditions of this agreement. (Hu Genshen, 2001)

句中的fulfill一词不能恰当地表明“履行”之意,因为法律上fulfill表示的是“做合同中承诺的一切”。它强调的是缔约方根据规定的具体义务进行履约。所以应用perform一词,因为perform其法律上的意思是“一方当事人必须按合同办事”,意指双方当事人的责任和义务。

(2) Within the validity term of the Contract,both parties shall supply each other with the improvement and development of the technology related to the Contracts Products free of charge.

句中的“提供”一词常被译为“provide” 和 “supply”。但两者有微妙差别。这里用“supply”不如用“provide”准确,因为“supply”有给钱之意,但条款里明确规定是“free of charge”。

(二)根据双方当事人的权利和义务的关系选择同义词

英文合同中的某些同义词表面上相似的,而在具体条款中它们表达着不同的权利与义务关系。如

(1)The Seller shall refund to the Buyer such amounts after paying all tax liabilities.

(2)The Licensee shall assume full responsibility for the payment of all royalties.

在合同中,常出现“责任”一词,通常用“liability” 和 “responsibility”来表达。但是,在具体义务中,这两个词是有区别的。用“liability”表示“责任”,其主要强调两个方面:“赔偿责任”和“债务责任”。用“responsibility”时,主要强调“职责、义务”,因此上述两个句子中的“liability” 和 “responsibility”不能互换。

(三)根据句法的需要选择同义词

有些同义词的选用是按句子结构和搭配来进行的, 所以要注意同义词的搭配问题,以避免句法搭配错误。像常出现在合同中的“遵守”一词,可以用“observe”, “obey”,“ abide by”,“ comply with”来表达,但必须与句子结构及搭配一致。如,

(1) Both parties should abide by(observe)the terms and conditions of this Agreement.

(2) All the activities of a joint venture shall obey(observe)the provision of laws of the Peoples Republic of China.

第一个句子是正确的,而第二句用“observe”或 “obey”就不正确了,因为其主语是“activities”, 所以应该用“comply with”, 表示“activities”与“the provision of laws”一致。

四、结语

从以上的分析可以发现同义词在经贸合同中的应用频率很高,而且还常会成对使用。正确使用同义词能使合同相关条款的表述更准确,使双方当事人更清楚各自的权利和义务。这样合同就能得到顺利地履行,使双方得以共赢。

RECITALS

WHEREAS, Seller is the owner of the property of 14D, Building 3, Park View Tower; Seller desires to sell to Buyer, and Buyer desires to acquire from Seller, the entire ownership of the property and its associated granted land use right (the “Property”, as defined more specifically in Article 2 of this Sale Contract);

Article I Representations, Warranties and Covenants

1.3 Within three (3) working days after the execution of this Contract, Buyer shall pay to Seller, as an advance payment, fifty percent (50%) of the Purchase Price, i.e. RMB ____________ (the “Advance Payment”)

1.4 Buyer shall pay, as the remaining payment, the other fifty percent (50%) of the Purchase Price, i.e. RMB ___________ (th

e “Remaining Payment”), by applying for the second hand property mortgage loan from the Bank (the “Bank”) The Bank sould directly pay all mortgage loan to Seller‘s bank account as described above.

1.4.1 Within ten (10) working days after the execution of this Contract, Buyer shall sign the mortgage loan agreement and other relevant documents with the Bank, and get approval from the bank with respect to the mortgage loan application for the Remaining Payment. Buyer shall hand over the photocopies of the above-mentioned documents to the Lawyer.

1.4.2 Within ten (10) working days after the execution of this Contract, both Parties and the Bank shall sign a tri-party agreement (the “Tri-party Agreement”) in which the Bank agrees to release the loan (equivalent to the Remaining Payment) to Seller‘s account directly. Buyer shall hand over the photocopy of the Tri-party Agreement to the Lawyer.

1.4.3 After Seller confirms the receipt of the Advance Payment, and upon receipt by the Lawyer of all of the documents and taxes and fees from both Parties as described in Article 6 and Article 7 of this Contract, and within three (3) working days after the documents mentioned in Article 4.4 above are provided to the Lawyer, Lawyer shall submit the transfer application (with all necessary supporting documents) of the Property Ownership Certificate to Beijing Construction Committee Real Estate Exchange Center (the “Center”) Within three (3) working days after the transfer of the Property Ownership Certificate is completed, Lawyer shall submit the transfer application (with all necessary supporting documents) of the Land Use Right Certificate to Beijing Land & Resource Bureau.

1.4.4 After the Property Ownership Certificate and the Land Use Right Certificate are transferred to Buyer, and after Lawyer receives all the original certificates, Lawyer shall provide to the Bank with these certificates in accordance with the terms of the Tri-party Agreement. The bank, who will apply for the mortgage registration of the Property, shall release the loan (Remaining Payment) directly to Seller once the mortgage registration is completed.

1.4.5 In case that the Bank has not approved the drawdown of the loan or the loan paid to Seller is less than the Remaining Payment within two (2) months after Lawyer provides the Property Ownership Certificate and the Land Use Right Certificate to the Bank, Buyer agrees to make full payment of the Remaining Payment within five (5) working days after the above-mentioned two (2) months period expires.

Article V Taxes and fees

In case the rental is more than 7 working days overdue, Party B will pay 0.5 percent of monthly rental as overdue fine every day, if the rental be paid 10 days overdue, Party B will be deemed to have with drawn from the premises and breach the contract. In this situation, Party A has the right to take back the premises and take actions against party B‘s breach.

五、押金 / Deposit

1. 为确保房屋及其附属设施之安全与完好,及租赁期内相关费用之如期结算,乙方同意于年月日前支付给甲方押金元整,甲方在收到押金后予以书面签收。

Guarantying the safety and good conditions of the premises and attached facilities and account of relevant fees are settled on schedule during the lease term, party B will payto party A as a deposit before(month)(day)(year)。 Party A will issue a written receipt after receiving the deposit.

2.除合同另有约定外,甲方应于租赁关系消除且乙方迁空、点清并付清所有应付费用后的当天将押金全额无息退还乙方。

Unless otherwise provided for by this contract, Party A will return full amount of the deposit without interest on the day when this contract expires and party B clears the premises and has paid all due rental and other expenses.

3.因乙方违反本合同的规定而产生的违约金、损坏赔偿金和其它相关费用,甲方可在押金中抵扣,不足部分乙方必须在接到甲方付款通知后十日内补足。

In case party B breaches this contract, party A has right to deduct the default fine, compensation for damage or any other expenses from the deposit . In case the deposit is not sufficient to cover such items, Party B shou

ld pay the insufficiency within ten days after receiving the written notice of payment from Party A.

4.因甲方原因导致乙方无法在租赁期内正常租用该物业,甲方应立即全额无息退还押金予乙方,且乙方有权追究甲方的违约责任。

If Party B can‘t normally use the apartment because of Party A , Party A should return the deposit to Party B at once. And, Party B has the right to ask for the compensation from Party A.

六、甲方义务 / Obligations of Party A

1. 甲方须按时将房屋及附属设施(详见附件)交付乙方使用。

Party A will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to Party B for using.

2. 房屋设施如因质量原因、自然损耗、不可抗力或意外事件而受到损坏,甲方有修缮并承担相关费用的责任。如甲方未在两周内修复该损坏物,以致乙方无法正常使用房屋设施,乙方有权终止该合约,并要求退还押金。

In case the premise and attached facilities are damaged by quality problems, natural damages or accidents, Party A will be responsible to repair and pay the relevant expenses. If Party A can‘t repair the damaged facilities in two weeks so that Party B can’t use the facilities normally, Party B has the right to terminate the contract and Party A must return the deposit.

3.甲方应确保出租的房屋享有出租的权利,如租赁期内该房屋发生所有权全部或部分转移、设定他项物权或其他影响乙方权益的事件,甲方应保证所有权人、他项权利人或其他影响乙方权益的第三者能继续遵守本合同所有条款,反之如乙方权益因此遭受损害,甲方应负赔偿责任。

Party A will guarantee the lease right of the premises……In case of occurrence of ownership transfer in whole or in part and other accidents affecting the right of lease by party B, .party A shall quarantce that the new owner,and other associated ,third parties shall be bound by the terms of this contract.Otherwise, Party A will be responsible to compensate party B‘s losses.

4. 甲方应为本合同办理登记备案手续,如因未办理相关登记手续致该合同无效或损害乙方租赁权利,应由甲方负责赔偿,且甲方应承担该合同相关的所有税费。

Party A must register this contract with the relevant government authority If not doing so resultingthat this contract is invalid or Party B‘s right of leasing may be damaged , Party A should take the all responsibilities. Party A should also bear the all the relevant taxes.

七、乙方义务/ Obligations of Party B

1. 乙方应按合同的规定按时支付租金及押金。

Party B will pay the rental and the deposit on time.

2. 乙方经甲方同意,可在房屋内添置设备。租赁期满后,乙方将添置的设备搬走,并保证不影响房屋的完好及正常使用。

Party B may add new facilities with Party A‘s approval. When this contract expires, Party B may take away the added facilities without changing the good conditions of the premises for normal use.

未经甲方同意,乙方不得将承租的房屋转租或分租,并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损,乙方应承担赔偿责任。

Party B will not transfer the lease of the premises or sublet it without Party A‘s approval and should take good care of the premises. Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.

4.乙方应按本合同规定合法使用该房屋,不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则,如该房屋及附属设施因此受损,乙方应承担全部责任。

Party B will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. Otherwise, Party B will be responsible for the damages caused by it .

5.乙方应承担租赁期内的水、电、煤气、电话费、收视费、一切因实际使用而产生的费用,并按单如期缴纳。

Party B will bear the cost of utilities such as telephone communications, water, electricity and gas on time during the lease term.

八、合同终止及解除的规定/ Termination and dissolution of the contract

1.乙方在租赁期满后如需续租,应提前一个月通知甲方,由双方另行协商续租事宜。在同等条件下乙方享有优先续租权。

Within one month before the contract expires, Party B will notify Party A if it intends to extend the lease. In this situation, two parties will discuss matters over the extension.Under th

e same terms Party B has the priority to lease the premises.

2.租赁期满后,乙方应在日内将房屋交还甲方;任何滞留物,如未取得甲方谅解,均视为放弃,任凭甲方处置,乙方决无异议。

When the lease term expires, Party B will return the premises and attached facilities to Party A withindays. Any belongings left in it without Party A‘s previous understanding will be deemed to be abandoned by Party B. In this situation, Party A has the right to dispose of it and Party A will raise no objection.

本合同一经双方签字后立即生效;未经双方同意,不得任意终止,如有未尽事宜,甲、乙双方可另行协商。

This contract will be effective after being signed by both parties. Any party has no right to terminate this contract without another party‘s agreement. Anything not covered in this contract will be discussed separately by both parties.

九、违约及处理/ Breach of the contract

1. 甲、乙双方任何一方在未征得对方谅解的情况下,不履行本合同规定条款,导致本合同中途终止,则视为该方违约,双方同意违约金为元整,若违约金不足弥补无过错方之损失,则违约方还需就不足部分支付赔偿金。

During the lease term, any party who fails to fulfill any article of this contract without the other party‘s understanding will be deemed to breach the contract. Both parties agree that the default fine will be. In case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.

2.若双方在执行本合同或与本合同有关的事情时发生争议,应首先友好协商;协商不成,可向有管辖权的人民法院提讼。

provide party a’s trainees free of charge with boarding, lodging and means of

conveyance for travel- ling between the lodging place and the factory.

article 6 technical documents

6.1 party b shall, according to the delivery schedule and details stpulated in

appendix 2to the contract, deliver the documents at________________.

as the actual date of delivery paryt a shall send to party b a photostat copy of the

airconsignment note shwing the stampde date of arrival.

6.3 within twenty-four hours after the despatch of each lot of the technical documente,

of the air consignment note, items of the documents, number of pieces, airmail to

party a two copies of each of the air consignment note and detaikled list of the

technical documents.

6.4 if the technical documents are foumd lost, damaged or mutilated during air

trans-portation, party b shall supply party a free of charge with a second lot of

documents within thechortest possible time but not later than thirty days after it has

received from party a the writtennotice. within sixty days after party a has received

the documents from party b,if party a does not declare the shortage and request to

cover the same, it is considered asa-cepted.

6.5 the technical documents shall be in english and based on metric system of

measure-ments.

article 7 verification and acceptance

7.1 the verification test on the first samplemachine of the contracted product shall be carried out by the joint group consisting of party a’s and party b’s representatives

accordingto the schedule and contents stipulated in appendix 7 to the contract. lf the

performance of the contracted product is in conformity with the technical specifications

stipulated in ap-pendix 1, such testshall be considersd as qualified and the

representatives of both parties shll sign the inspection and testing certificate for the

proper performance of the contracted product in quadruplicate, 2copies for each party.

7.2 if the verification test demonstrates that the performance of the contracted

prod-uct isnot in conformity with prescribed technical specifications, both parties

shall, throughamicable negotiations,make a joint study of and analyse the cause and

take measures to e-liminate the defects and carry out asecond test. when the second test

demonstuates tha the performance is qualified, both parties shall sign a testing

certificate for the proper perfot- mance

7.3 if party b is responsible for the failure of the first test, party b shall send

at ist own expense technical ersonnel for the second test.

7.4 if the second test fails again and the failure is attributed to party b, party b

shallindemnify party a for any losses sustained and shall take effective measures to

eliminate thedefects and carry out a third test.

7.5 if the third test again fails, and if party b is responsible for the failure,

party a has the right to terminate the contract at its discretion and lodge claims as stipulated ih article9.if the responsibility for the failure lies with party a, the two

parties shall negotiate as tohow to further implement the contract.

article 8 technical improvements

8.1 if the technical documents provided by party b are not applicable to party a’s

actualproduction condidions (such as design standards, raw materials, purchased parts

for the ma-chine, production facilitie), party b is obliged to assist party a in

modifying the technicaldocuments and confirm the same. upon the condition that the

properties of the contracted products are not affected, raw materials, fittings and

equipmint of chinese origin may be used.

8.2 during the currency of the contract. if eithet of the two parties effets improve-

ments on or developments of the products within the xcope stipulated in the contract,

thd said party shall submit, free of charge, to the other party the technological

information con-cernign such improvements or developments.

8.3 the ownership of such improvements on or developments of the ontracted product

shall belong to the party who has effected such improvements or develpments. the othe

paryt shall not apply for patent ortransfer the same to any third arty.

article 9 guarantees and claims

9.1 party b guarantees that the technical documents to be supplied by party b are the

latest technical information which has been put into practical use by party b. party b

also undertakesto supply to party a in time the technical information relevant to any develop-ment of or improvement on the contracted product.

9.2 party b guarantees that the technical documents to be supplied by party b are

com-plete,correct,legible and are to be despatched in time.

9.3 if the documents suppied by party b are not in conformity with the stipulation

in article 6, party b shall, within the shortext possible time but not later than 3o

days after re-ceipt of party a’s written notice, despatch free of charge to party a

the missing or the cor- rcet and legible technical socuments.

9.4 if party b fails to despatch the said documents within the stipulated period as

per appendix 2 party b shall pay penalty to party a in the following proportions:

(a)...percent of the total contract price for delay from 1 to 4 weeks.

(b)...percent of the total contract price for delay form 5 to 8 weeks.

(c)...percent of the total contract price for delay exceeding weeks;

9.5 the payment of penalties by party b to party a as stipulated in article 9 shll

not releve party b of its obligation to deliver the said documents.

9.6 whenever the delay in delivering the said documents exceeds 6 months, party a

shall be entitled to terminate the contract at its discretion and party b shall be

obliged to re- fund party a all its payments together with the corresponding ingerest

六、 甲方义务 Obligations of Party A

1. 甲方须按时将房屋及附属设施(详见附件)交付乙方使用。

Party A will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to Party B for using.

2. 房屋设施如因质量原因、自然损耗或灾害而受到损坏,甲方有修缮并承担相关费用的责任。

In case the premise and attached facilities are damaged by quality problems, natural damages or disasters, Party A will be responsible to repair and pay the relevant expenses.

3. 甲方应确保出租的房屋享有出租的权利,反之如乙方权益因此遭受损害,甲方应负赔偿责任。

Party A will guarantee the lease right of the premises. Otherwise, Party A will be responsible to compensate Party B's losses.

七、 乙方义务 Obligations of Party B

1. 乙方应按合同的规定按时支付定金、租金及保证金。

Party B will pay the rental, the deposit and other expenses on time.

2. 乙方经甲方同意,可在房屋内添置设备。租赁期满后,乙方将添置的设备搬走,并保证不影响房屋的完好及正常使用。

Party B may decorate the premises and add new facilities with Party A's approval. When this contract expires, Party B may take away the added facilities which are removable without changing the good conditions of the premises for normal use.

3. 未经甲方同意,乙方不得将承租的房屋转租或分租,并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损,乙方应承担赔偿责任。

Party B will not transfer the lease of the premises or sublet it without Party A's approval and should take good care of the premises. Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.

4. 乙方应按本合同规定合法使用该房屋,不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则,如该房屋及附属设施因此受损,乙方应承担全部责任。

Party B will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. Otherwise, Party B will be responsible for the damages caused by it.

5. 乙方应承担租赁期内的水、电、煤气、电讯、收视费、等一切因实际使用而产生的费用,并按单如期缴纳。

Party B will bear the cost of utilities such as communications, water, electricity, gas, management fee etc. on time during the lease term.

八、 合同终止及解除的规定 Termination and dissolution of the contract

1. 乙方在租赁期满后如需退租或续租,应提前两个月通知甲方,由双方另行协商退租或续租事宜。在同等条件下乙方享有优先续租权。

2. 租赁期满后,乙方应在当天将房屋交还甲方;任何滞留物,如未取得甲方谅解,均视为放弃,任凭甲方处置,乙方决无异议。

Both parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation. In case the agreement cannot be reached, any party may summit the dispute to the court that has the jurisdiction over the matter.

依据《中华人民共和国合同法》及有关法律、法规的规定,甲乙双方在平等、自愿的基础上,就房屋租赁的有关事宜达成协议如下:

第一条租赁期限

2、因乙方保管不当或不合理使用,致使房屋及其附属物品、设备设施发生损坏或故障的,乙方应负责维修或承担赔偿责任。

第四条转租

(一)除甲乙双方另有约定以外,乙方需事先征得甲方书面同意,方可转租给他人,并就受转租人的行为向甲方承担责任。

第五条合同解除

(一)经甲乙双方协商一致,可以解除本合同。

(二)因不可抗力导致本合同无法继续履行的,本合同自行解除。

第六条其他约定事项

本合同经双方签字后生效,本合同一式 份,其中甲方执 份,乙方执 份。

本合同生效后,双方对合同内容的变更或补充应采取书面形式,作为本合同的附件。附件与本合同具有同等的法律效力。

根据国家有关法律、法规和有关规定,甲、乙双方在平等自愿的基础上,经友好协商一致,就甲方将其合法拥有的房屋出租给乙方使用,乙方承租使用甲方房屋事宜,订立本合同。

in case the rental is more than ten working days overdue, party b will pay 0.5 percent of monthly rental as overdue fine every day, if the rental be paid 15 days overdue, party b will be deemed to have with drawn from the premises and breach the contract. in this situation, party a has the right to take back the premises and take actions against party b's breach.

五、 保证金 deposit

1. 为确保房屋及其附属设施之安全与完好,及租赁期内相关费用之如期结算,乙方同意于______年_____月_____日前支付给甲方保证金人民币 _________元整,甲方在收到保证金后予以书面签收。

3. 因乙方违反本合同的规定而产生的违约金、损坏赔偿金和其它相关费用,甲方可在保证金中抵扣,不足部分乙方必须在接到甲方付款通知后十日内补足。

in case party b breaches this contract, party a has right to deduct the default fine, compensation for damage or any other expenses from the deposit . in case the deposit is not sufficient to cover such items, party b should pay the insufficiency within ten days after receiving the written notice of payment from party a.

六、 甲方义务 obligations of party a

1. 甲方须按时将房屋及附属设施(详见附件)交付乙方使用。

party a will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to party b for using.

2. 房屋设施如因质量原因、自然损耗或灾害而受到损坏,甲方有修缮并承担相关费用的责任。

in case the premise and attached facilities are damaged by quality problems, natural damages or disasters, party a will be responsible to repair and pay the relevant expenses.

3. 甲方应确保出租的房屋享有出租的权利,反之如乙方权益因此遭受损害,甲方应负赔偿责任。

party a will guarantee the lease right of the premises. otherwise, party a will be responsible to compensate party b's losses.

七、 乙方义务 obligations of party b

1. 乙方应按合同的规定按时支付定金、租金及保证金。

party b will pay the rental, the deposit and other expenses on time.

2. 乙方经甲方同意,可在房屋内添置设备。租赁期满后,乙方将添置的设备搬走,并保证不影响房屋的完好及正常使用。

party b may decorate the premises and add new facilities with party a's approval. when this contract expires, party b may take away the added facilities which are removable without changing the good conditions of the premises for normal use.

3. 未经甲方同意,乙方不得将承租的房屋转租或分租,并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损,乙方应承担赔偿责任。

party b will not transfer the lease of the premises or sublet it without party a's approval and should take good care of the premises. otherwise, party b will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.

4. 乙方应按本合同规定合法使用该房屋,不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则,如该房屋及附属设施因此受损,乙方应承担全部责任。

party b will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. otherwise, party b will be responsible for the damages caused by it

5. 乙方应承担租赁期内的水、电、煤气、电讯、收视费、等一切因实际使用而产生的费用,并按单如期缴纳。

party b will bear the cost of utilities such as communications, water, electricity, gas, management fee etc. on time during the lease term.

八、 合同终止及解除的规定 termination and dissolution of the contract

1. 乙方在租赁期满后如需退租或续租,应提前两个月通知甲方,由双方另行协商退租或续租事宜。在同等条件下乙方享有优先续租权。

within two months before the contract expires, party b will notify party a if it intends to extend the leasehold. in this situation, two parties will discuss matters over the extension.

2. 租赁期满后,乙方应在当天将房屋交还甲方;任何滞留物,如未取得甲方谅解,均视为放弃,任凭甲方处置,乙方决无异议。

when the lease term expires, party b will return the premises and attached facilities to party a within days. any belongings left in it without party a's previous understanding will be deemed to be abandoned by party b. in this situation, party a has the right to dispose of it and party a will raise no objection.

3. 本合同一经双方签字后立即生效;未经双方同意,不得任意终止,如有未尽事宜,甲、乙双方可另行协商。

九、 违约及处理 breach of the contract

1. 甲、乙双方任何一方在未征得对方谅解的情况下,不履行本合同规定条款,导致本合同中途中止,则视为该方违约,双方同意违约金为人民币___________元整,若违约金不足弥补无过错方之损失,则违约方还需就不足部分支付赔偿金。

三、租赁范围及用途: tenancy:

七、其他费用: other charges:

乙方应承担租赁期内实际使用而产生的水、电、液化气费、电话费并按单自行如期交纳所属管理公司或有关机构。 during the term of tenancy,party b is responsible for paying the charges in relation to water, electricity, gas,telephone charges on the basis of the amount of such utilities party b uses. such charges shall be paid when due according to the invoice therefore received by party b from the management company or relevant authority every month.

八、甲方的责任: party a’s obligations:

and performs and observes party b’s terms and conditions in accordavce with this agreement, party b shall be entitled to hold and enjoy the leased property throughout the term of this tenancy without any interruption by party a or any other person.

8.4 租赁期内出租房屋的结构,进出物业的排水、上下管道、电路等处于良好使用状态。 party a agrees to repair and maintain the structure,drains, pipes and cables, etc.leading in to or from the leased property at all times in good and tenable repair during the term of this tenancy.

8.1 甲方须按时将出租房屋及其家私家具用品与其设施以良好状态交付乙方使用。 party a shall deliver on schedule to party bvacant possession of the leased property including the furniture,furnishing and appliances and the related facilities for party b’s use(furniture,furnishing and appliances to be detailed in appendisl.)

8.2 租赁期内甲方不得收回出租房屋(除非本合同另有规定),甲方保证乙方可不受干扰的享用该物业。 party a shall not repossess the leased property during the term of party a disturb of interfere with party b’s quiet enjoyment of the leased property.

8.3 在乙方遵守本合同的条款及支付租金的前提下,乙方有权于租赁期内拒绝甲方或其他人骚扰而安静享用出租房屋。 proviede that party b pays the rent

九、乙方的责任: party b’s obligations:

9.1 乙方应按合同的规定,按时支付租金,保证金及其他各项应付费用。 party b shall promptly pay all rent ,security deposit and other charges payable by it in accordance with the terms of this agreement. 9.2 乙方应爱护使用出租房屋,如因乙方的过失或过错致使房屋设施及屋内用具和饰品受到损坏(正常损耗除外),乙方应负赔偿责任。 paryt b shall treat the leased property with care. if as a result of party b’s negligence or misconduct, the leased property and the related facilities and accessorties suffer any damage(fair wear and tear excepted ),party b shall be responsible for compensating party a for such damages.

9.3 乙方应按本合同的约定合法使用出租房屋,不得擅自改变使用性质,不应存放中华人民共和国法律下所禁止的危险物品,如因此发生损害,乙方应承担全部责任。 party b shall use the leased property legally as agreed in this agreement and may not change such use on its own…party b shall not store any dangerous items which are prohibited by the laws in the people’s republic of china in the leased property and shall be fully responsible for any admages of losses as result thereof.

9.4 未经甲方事先书面同意,乙方不得将出租房屋转租或租给其他的第三者。 without party a’s prior written consent ,party b may not assign the tenancy or sublet the leased property to a third party.

十、违约处理: breach of agreement :

10.1 甲、乙任何一方如未按本合同的条款履行,构成违约,应承担相应的违约责任。双方同意违约方应赔偿守约方之直接损失人民币____________元。 if either party a or party b fails to perform its obligations hereunder ,it shall constitute a breach of this agreement and the defaulting party shall be liable for the liabilities resulting from such breach. the parties agree that the party in breac.
